We’re excited for you to submit your Lainey Wilson event photos or videos (“Content”) for a potential feature on the Wild Horses social media accounts and website! Now that you’ve visited our website (“Website”) you’re almost ready to upload your Content. Please note that any Content submission that does not meet the format required or otherwise contains unacceptable content in violation of these Terms & Conditions (“Terms” or “Agreement”), cannot be reviewed or considered. Also note, minor children under the age of 13 are not permitted to submit Content. If you are a minor child who is over the age of 12 but younger than 18 (or the age of majority in the jurisdiction where you live) (“Legal Age”), your parent or legal guardian (“Parent/Guardian”) also needs to agree to these Terms.   

Lainey Wilson, its subsidiaries and affiliates, and its respective officers, directors, employees, agents, licensees, independent contractors, successors, and assigns are referred to collectively as “Sponsor.”

By signing and submitting your Content, you (and your Parent/Guardian, if applicable) (individually and/or together, ”I,” “me,” “my,”or “Submitter”) hereby swear and affirm, and agree to be bound, as follows:

By submitting my Content (the “Submission”) to Sponsor via the Website, I agree to be bound by these Terms for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, in consideration of Sponsor’s acceptance of the Submission for review for Sponsor’s potential use of the Submission, in Sponsor’s sole discretion, in connection with Sponsor’s brand and marketing materials.

  1. I understand and acknowledge that:
    1. I am 18 years of age or older, or I am between the ages of 13 and 17 and my Parent/Guardian is also signing this document with me; 
    2. I am voluntarily and knowingly submitting the Submission;
    3. These Terms govern any and all Submissions by me;
    4. No fiduciary or confidential relationship now exists or is established between Sponsor and me by my Submission or Sponsor’s receipt, review, or use of the same;
    5. The Submission may be similar or identical to materials or ideas to which Sponsor may now have, previously had, or will have access; or that Sponsor may create, develop, or have created or developed;
    6. Sponsor’s receipt, review, or use of the Submission is not an admission that the Submission is novel or protected or protectable by copyright or other intellectual property law; and
    7. Sponsor has no obligation to use the Submission.
  1. Content Requirements
    1. Submissions may not contain any obscenities, explicit sexual material, nudity, profanity, commercial solicitations, or commercial promotion. Submissions also may not contain content or images that could be considered abusive, inflammatory, denigrating, and disrespectful to groups, individuals, or institutions. I warrant and represent that my Submission is my original work, that it has not been offered to any third party, that it does not infringe upon the copyrights, trademarks, rights of publicity or privacy, or any other intellectual rights of any person or entity, and that I am not relying on the “fair use” doctrine in lieu of consents. I warrant that the Submission does not infringe on any third-party rights or the terms and conditions of any third-party website or application. I further warrant that the Submission is free from any malware, worms, viruses, Trojan horses, or any other destructive elements.
  1. Publicity Rights; Ownership of submission
    1. Except where prohibited by law, making this Submission constitutes my permission and grant to Sponsor and its designees the right and permission to print, publish, broadcast, and use, worldwide in any media now known or hereafter developed, including but not limited to the internet, at any time(s), the Submission, as well as (to the extent included in the Submission) my name, portrait, picture, voice, likeness, social media handle(s), opinions and biographical information, and any other elements of my persona for advertising and promotional purposes without additional consideration, permission, or notification.   
    2. I acknowledge and agree that I shall retain the copyright in this Submission, subject to the rights granted to Sponsor below.  By submitting a Submission, I agree that such Submission and any other materials that I may submit to Sponsor or post to the Website in connection with this request for Submissions (“Materials”), including all rights embodied therein, are deemed to be non-confidential and non-proprietary and Sponsor shall have no obligation of any kind with respect to such Materials. 
    3. Sponsor shall be free to edit, exploit, modify, publish, reproduce, use, disclose, disseminate and distribute the Materials to others without limitation in any and all media now known or not currently known, throughout the world in perpetuity for any purpose without compensation, permission or notification to me or any third-party. I hereby grant to the Sponsor and its legal representatives, successors and assigns, an irrevocable, and world-wide license to use in perpetuity the Materials in any form or format and to modify the same, provided that such license does not authorize Sponsor to disclose the Submission in any manner constituting a “sale” under applicable data protection laws. I acknowledge and agree that I waive any moral rights I may have to the Materials and agree that if Sponsor elects to use Materials for any purpose, all rights under copyright or other intellectual property rights which may result from that relating to my Submission or from use of the same by sponsor shall be the sole property of Sponsor. 
  1. Credit
    1. If selected, I grant to Sponsor the right (but not the obligation) to use my name and likeness in its sole discretion (including, without limitation, my social media handle(s)) in relation to the Submission. No additional consideration shall be owed for such use(s).  
  1. LIMITATION OF LIABILITY AND RELEASES
    1. WARNING: ANY ATTEMPT TO DELIBERATELY TAMPER WITH OR DAMAGE ANY WEBSITE ASSOCIATED WITH THE SUBMISSION(S) OR UNDERMINE ITS LEGITIMATE OPERATION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the Submission process and/or the website, and/or their legitimate operation; or to act in a disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. 
    2. Sponsor is not responsible for (1) any incorrect or inaccurate information, whether caused by submitters, errors or by any of the equipment or programming associated with or utilized in association with the Submission; (2) lost, late, incomplete, damaged, stolen, misdirected, or illegible Submissions; (3) lost, interrupted, or unavailable network, server, or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user’s computer equipment (software or hardware), or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; (3) unauthorized human intervention in any part of the Submission process; (4) technical or human error which may occur in the administration of the processing of Submissions; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Submitter’s participation in providing a Submission. Sponsor may, in its sole discretion, (a) modify the Website or suspend the Website to address the impairment and then resume in a manner that best conforms to the spirit of these Terms; and/or (b) terminate the use of the Website and close the Website to any further Submission. Sponsor’s failure to enforce any term of this Agreement shall not constitute a waiver of that provision.  
    3. BY SUBMITTING A SUBMISSION, I AGREE THAT SPONSOR AND ITS AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEBMASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ME, AGAINST ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM PARTICIPATION IN A SUBMISSION OR IN ANY RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THE WEBSITE IS TERMINATED OR THE TERMS CANNOT BE FULFILLED DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, EPIDEMIC, PANDEMIC, WIDESPREAD ILLNESS OR TERRORISM. BY SUBMITTING A SUBMISSION, I AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THE SUBMISSIONS OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.
  1. CHOICE OF LAW AND FORUM
    1. Except where prohibited, these Terms are governed by the laws of the state of Texas and Submitter agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Submissions or this Agreement shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of Texas; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with Submission, but in no event attorneys’ fees; and (3) under no circumstances will Submitter be permitted to obtain awards for, and Submitter hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  
  1. AGREEMENT
    1. In order to submit your Submission, you must agree to and provide your e-signature to this Agreement. 
    2. By signing, you acknowledge and agree that:
      1. You are of Legal Age (or you are a minor child and your Parent/Guardian is of Legal Age and has also signed with you/on your behalf); 
      2. You have read and understand all of these Terms, and are knowingly agreeing to the same; and
      3. Your e-signature shall constitute a valid signature pursuant to the Electronic Signature Act (UETA) and ESIGN Act and this Agreement shall be deemed an instrument of conveyance or a note or memorandum transferring copyright under the Copyright Act, pursuant to 17 USC Section 204.
